Sale of Goods Agreement Uhauz LLC Last Updated: May 27, 2026
1. Orders and Acceptance
All orders for premium appliance parts or system components are subject to availability and technical verification. Uhauz LLC reserves the right to cancel orders resulting from manufacturer pricing errors or technical incompatibility.
2. Payment Terms
- Parts Procurement: Full payment for parts is required before the order is placed with the manufacturer (Sub-Zero, Wolf, Miele, etc.).
- Special Orders: Parts ordered specifically for a customer’s system are non-refundable once the order is processed by the manufacturer.
- Diagnostic Fee: A non-refundable diagnostic fee of $99 applies to all service calls. This fee is credited toward the total repair cost if the customer proceeds with the recommended repair.
- Payment Methods: Payments are accepted via ACH, wire transfer, credit card, or Stripe online payments. All transactions are in U.S. Dollars.
3. Taxes and Fees
Prices do not include sales tax, shipping, or manufacturer surcharges. Customers are responsible for all applicable California state and local taxes unless a valid tax exemption certificate is provided.
4. Cancellation Policy
- 24-Hour Notice: Cancellations made at least 24 hours before the scheduled appointment are free of charge.
- Late Cancellation: Cancellations made less than 24 hours before the scheduled appointment may be subject to a $50 cancellation fee.
- No-Show: If a customer is not present at the scheduled time without prior notice, the full diagnostic fee of $99 will be charged.
5. Procurement and Logistics
- Lead Times: Delivery dates for parts are estimates provided by manufacturers. Uhauz LLC is not liable for delays caused by global supply chain disruptions or manufacturer backlogs.
- Title of Goods: Title to the parts passes to the Customer only upon full payment of the final service invoice.
- Risk of Loss: Risk of loss or damage passes to the Customer upon installation of the component into the appliance system.
6. Technical Installation
Uhauz LLC provides professional installation of all parts sold. If a customer chooses to use an external technician for installation:
- Uhauz LLC is not responsible for any damage to the part or the system.
- The system restoration warranty is void.
- The customer must sign a written waiver acknowledging these conditions before the part is released.
7. Return and Replacement Policy
- Defective Parts: Components found to be defective upon unboxing will be replaced under the manufacturer’s warranty.
- Installed Parts: Once a part is installed and calibrated, it cannot be returned for a refund.
- Concealed Damage: Any damage to the part must be reported within 48 hours of delivery or installation.
8. Limited Warranty
- Labor Warranty: Uhauz LLC warrants all repair labor for a period of 90 days from the date of service. If the same issue recurs within 90 days, Uhauz LLC will re-perform the repair at no additional labor charge.
- Manufacturer Warranty: All parts are covered by the respective manufacturer’s warranty. Uhauz LLC facilitates warranty claims but is not the primary warrantor of the physical goods.
- Exclusions: Warranty does not cover parts or labor damaged by power surges, improper use by the owner, or interference by unauthorized third parties.
9. Limitation of Liability
Uhauz LLC’s liability for any sold part is limited to the purchase price of that specific part. We are not liable for indirect damages, such as food loss or property damage resulting from part failure.
10. Governing Law and Venue
This Agreement is governed by the laws of the State of California. Any legal proceedings shall be conducted in the state or federal courts located in San Diego, California.
11. Force Majeure
Uhauz LLC is excused from performance delays caused by natural disasters, strikes, government actions, or manufacturer-side disruptions.
